Leading European law firm, Fieldfisher, has advised the three sellers of MBI Healthcare Technologies, John Bull, Emilios Evangeli and Barry Mulholland, on the acquisition of the firm by global quality assurance and risk management provider DNV.

MBI Healthcare Technologies supplies healthcare providers with artificial intelligence-backed technology and data quality expertise to reduce patient safety risks, deliver care more efficiently and bring down waiting times for elective treatment. The company also provides strategic advice on elective care performance, recovery planning, organizational change, and technology implementation.

DNV provides quality assurance and risk management solutions to many of the world's most successful companies. The organisation advances safety and sustainable performance, sets industry standards, and inspires and invents solutions, helping its customers seize opportunities and tackle the risks arising from global transformations. Headquartered in Oslo, Norway, DNV has been active in the global healthcare sector for more than 30 years, delivering services including hospital accreditation and certification. The company’s digital health solutions integrate and aggregate data to synchronize healthcare provision, assure data quality in healthcare systems, and help to keep the sector’s operations cyber secure.

The acquisition forms part of DNV’s strategic expansion into the digital health market, where it aims to significantly grow its presence through innovation, acquisitions, and partnerships. DNV and MBI will work to rapidly scale the MBI’s solutions in the UK, target growth in international markets, and bring new data assurance technologies to the healthcare sector. MBI Healthcare Technologies’ management will continue to lead the company’s growth, supported by an international team of commercial and domain experts from DNV.

The Fieldfisher team was led by Corporate Partner Thomas Colmer, supported by fellow Partner, Andrew Prowse, director Rita Clare and associate Francesca Lo and Karri Vuori and Harry Radburn of finnCap Cavendish were the financial advisers to MBI and the sellers.

Commenting on the deal, Thomas Colmer said; "It was a real pleasure to advise John, Emilios and Barry on this transformational deal for MBI.  Having advised John, also alongside Karri, on the sale of his previous Digital Health business to a large corporate group almost a decade ago, after considerable inbound interest, we were delighted to called upon again to help secure and navigate the Founders to the right legal deal for them.  We wish both MBI and DNV all the best for a successful future together and we look forward to working with them again soon."

Barry Mulholland, Founding Partner, MBI Healthcare Technologies added, "This partnership with DNV brings together MBI's thought-leading position in elective care performance and DNV's reputation, international infrastructure and digital assurance expertise – a move that will make a great impact on healthcare systems in the UK and abroad.  It's a game-changing partnership both for us and the wider industry and Fieldfisher's counsel throughout this process has been second to none. John, Emilios and I would like to thank Thomas and the whole team for their efficiency, timeliness and professionalism in helping leading us to such a successful result."
